1. Acceptance of Terms
By accessing or using the CNC Edge website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
2. Services
CNC Edge provides precision CNC machining services including milling, turning, prototyping, and production machining. All services are subject to acceptance of a purchase order and mutual agreement on specifications, pricing, lead time, and delivery terms.
3. Quotes and Pricing
- All quotes are estimates and are valid for 30 days from the date of issue unless otherwise stated.
- Pricing is based on the specifications, quantities, and materials provided at the time of quoting. Changes to specifications may result in revised pricing.
- Final pricing is confirmed upon acceptance of a purchase order.
- Material costs are subject to market fluctuations and may be adjusted accordingly.
4. Purchase Orders
A valid purchase order is required before production begins. By issuing a purchase order, you agree to the quoted pricing, specifications, lead time, and these Terms of Service. Any additional terms on your purchase order that conflict with these terms are hereby rejected unless expressly agreed to in writing by CNC Edge.
5. Specifications and Drawings
- You are responsible for providing complete, accurate, and up-to-date technical drawings and specifications.
- CNC Edge manufactures parts to the dimensions and tolerances specified on the approved drawing. Any ambiguities will be clarified before production.
- Design changes after production has begun may result in additional charges and extended lead times.
6. Quality and Inspection
All parts are manufactured and inspected in accordance with our ISO 9001:2015 certified quality management system. First article inspection reports, certificates of conformance, and other quality documentation are available upon request. Inspection is performed using calibrated equipment traceable to NIST standards.
7. Delivery and Shipping
- Lead times are estimated and begin upon receipt of a confirmed purchase order, approved drawings, and any customer-furnished material.
- CNC Edge will make reasonable efforts to meet quoted delivery dates but is not liable for delays caused by events beyond our control.
- Shipping terms are FOB Origin unless otherwise agreed in writing. Risk of loss transfers to the buyer upon delivery to the carrier.
8. Payment Terms
- Payment terms are Net 30 from the date of invoice unless otherwise agreed in writing.
- New customers may be required to prepay or provide a deposit before production begins.
- Late payments are subject to a service charge of 1.5% per month (18% annually) on the outstanding balance.
- CNC Edge reserves the right to halt production on outstanding orders if payment terms are not met.
9. Cancellations and Returns
- Orders may be cancelled prior to the start of production without charge. Once production has begun, you are responsible for all costs incurred, including material and labor.
- Custom-machined parts are non-returnable unless they do not conform to the agreed-upon specifications.
- Claims for non-conforming parts must be submitted in writing within 10 business days of receipt.
10. Limitation of Liability
CNC Edge's liability for any claim arising from our services shall not exceed the purchase price of the specific parts giving rise to the claim. In no event shall CNC Edge be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, production downtime, or cost of replacement goods.
11. Intellectual Property and Confidentiality
- All customer drawings, specifications, and technical data remain the property of the customer.
- CNC Edge will not disclose confidential information to third parties except as required to fulfill orders (e.g., subcontracted processes) or as required by law.
- Separate non-disclosure agreements (NDAs) are available upon request.
- We maintain strict confidentiality protocols and secure data handling procedures for all customer technical data and specifications.
12. Force Majeure
CNC Edge shall not be liable for delays or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, labor disputes, supply chain disruptions, equipment failure, or government actions.
13. Website Use
- The content on this website is for general informational purposes only and does not constitute a binding offer.
- We reserve the right to modify or discontinue any aspect of the website at any time without notice.
- All content, images, and materials on this website are the property of CNC Edge and may not be reproduced without written permission.
14. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of the State of New York.
15. Changes to These Terms
We reserve the right to update or modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or services after any changes constitutes acceptance of the updated terms.
