By accessing or using the CNCEDGE LLC website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.

CNCEDGE LLC provides precision CNC machining services including milling, turning, prototyping, and production runs. All services are subject to acceptance of a purchase order and mutual agreement on specifications, pricing, lead time, and delivery terms.

• Quotes are estimates and valid for 30 days from issue unless otherwise stated.
• Pricing is based on the specifications, quantities, and materials provided at quoting. Changes to specifications may result in revised pricing.
• Final pricing is confirmed upon acceptance of a purchase order.
• Material costs are subject to market fluctuations and may be adjusted accordingly.

A valid purchase order is required before production begins. By issuing a purchase order, you agree to the quoted pricing, specifications, lead time, and these Terms of Service. Additional terms on your PO that conflict with these are rejected unless expressly agreed in writing.

• You are responsible for providing complete, accurate, and up-to-date drawings and specifications.
• We manufacture parts to the dimensions and tolerances specified on the approved drawing. Ambiguities are clarified before production.
• Design changes after production begins may result in additional charges and extended lead times.

Parts are manufactured and inspected per our ISO 9001:2015 quality management system. First Article Inspection reports, Certificates of Conformance, and other quality documentation available on request. Inspection uses calibrated equipment traceable to NIST standards.

• Lead times are estimated and begin upon receipt of a confirmed PO, approved drawings, and any customer-furnished material.
• We make reasonable efforts to meet quoted delivery dates but are not liable for delays caused by events beyond our control.
• Shipping terms are FOB Origin unless otherwise agreed in writing. Risk of loss transfers to the buyer upon delivery to the carrier.

• Net 30 from the invoice date unless otherwise agreed in writing.
• New customers may be required to prepay or provide a deposit before production begins.
• Late payments are subject to a service charge of 1.5% per month (18% annually) on the outstanding balance.
• We reserve the right to halt production on outstanding orders if payment terms are not met.

• Orders may be cancelled prior to the start of production without charge. Once production has begun, you are responsible for all costs incurred.
• Custom-machined parts are non-returnable unless they do not conform to the agreed-upon specifications.
• Claims for non-conforming parts must be submitted in writing within 10 business days of receipt.

Our liability for any claim arising from our services shall not exceed the purchase price of the specific parts giving rise to the claim. In no event shall we be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, production downtime, or cost of replacement goods.

• Customer drawings, specifications, and technical data remain customer property.
• We will not disclose confidential information to third parties except as required to fulfill orders or as required by law.
• Separate non-disclosure agreements (NDAs) are available on request.
• Strict confidentiality protocols and secure data handling for all customer technical data.

We shall not be liable for delays or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, supply chain disruptions, equipment failure, or government actions.

These Terms of Service are governed by and construed in accordance with the laws of the State of New York. Disputes shall be resolved in the courts of the State of New York.

We reserve the right to update or modify these Terms of Service at any time. Changes are effective immediately upon posting. Continued use constitutes acceptance of the updated terms.
